Entropic Communications acquiring Trident unit

Zoran
Trident

Good luck....

Sorrento Mesa-based Entropic Communications said Wednesday it will spend $55 million to acquire assets from Trident Microsystems Inc., which has filed for Chapter 11 bankruptcy protection in a Delaware court.

Entropic (Nasdaq: ENTR) makes chips for home entertainment networks. Sunnyvale-based Trident (Nasdaq: TRID), which has asked the bankruptcy court to approve the sale, develops semiconductors for digital televisions and set-top boxes. It is the set-top box operations that are being sold to Entropic. Set-top box technology is used for TV programming, Internet applications, 3-D games, and Web browsing.

Entropic said the acquisition would "bring together two highly complementary technologies, product lines, and teams" and expand the market it serves. Entropic technology helps support high definition-quality video and other multimedia digital content such as movies, games and photos.

Trident said it plans to continue to operate its businesses while it goes through the bankruptcy approval process regarding this sale and will look for "strategic alternatives" for its other business units.

Trident's share price ended the day at just six cents per share -- down 13 cents, or 68.4 percent, on the day. The six-cent price was the low for Trident's stock during the past 52 weeks. The stock topped out at $1.68 during that timeframe.

Entropic's share price ended at $5.08 Wednesday -- down 42 cents, or 7.63 percent, on the day. The stock has ranged from $3.36 to $13.96 during the past 52 weeks.

Entropic posted $4.64 million in net income on $51.46 million in revenues for the quarter ended last Sept. 30, compared to $11.27 million in net income on $32.53 million in revenues for the comparable period a year earlier.

For the first nine months of last year, Entropic registered $24.25 million in net income on $101.87 million in revenues -- compared to $16.12 million in net income on $74.13 million in revenues during the like period in 2010.

By contrast, Trident posted a net loss of $39.11 million on $80.88 million in revenues for the quarter ended Sept. 30, compared with a loss of $17.51 million on $176.56 million in revenues for the comparable period in 2010.

For the first nine months of last year, Trident recorded a loss of $106.15 million on $237.99 million in revenues. That was atop a loss of $75.11 million on $438.62 million in revenues for the comparable period a year earlier.

[news] Report: Kodak may file for bankruptcy

RIP.

Shares of Eastman Kodak Co. tumbled to a new all-time low following a report that the ailing photography pioneer might be preparing to file for bankruptcy protection.

The Wall Street Journal, quoting unidentified people familiar with the matter, said Wednesday that Kodak is preparing for a Chapter 11 filing "in the coming weeks" should efforts to sell a trove of digital-imaging patents fall through.

A Kodak spokesman said the company does not comment on rumor or speculation.

Kodak was warned by the New York Stock Exchange this week that its stock will be delisted if the price remains below $1 per share for the next six months, the ailing photography company said Tuesday.

Its stock plunged 17 cents, or 26.3 percent, to 48 cents in afternoon trading.
